ESE created a simple structure for verification and offers a guarantee of such to companies wishing to become verified by ESE.
There are a number of requirements to be verified and many advantages.
It’s a bit like an audit process, the auditor verifies facts and issues a warranty in the form of an authorised signature secured by their firm and their profession. ESE is not regulated by any authority in any jurisdiction so what is the verification worth? Well ESE is staking its reputation and the future of the entire exchange on the badge. If ESE issues a verification it's saying to its members and professional investors that Verified by ESE means something and at any time any member can request the due diligence materials we hold to confirm the status of the company in question and ESE will provide it.
Naturally there are agreements and levels of verification: Basic requirements include hosting the registered office with ESE so any late filings, formal notices come to an ESE facility where they are opened, checked and dealt with. Hosting the website server with ESE is another so stats and sales, visitors and traffic can be monitored and therefore verified.
The verified process came about when ESE decided it wanted all listed companies now and in the future to be both audited and CREST enabled in the UK for the electronic delivery of shares. This brings us closer to normality for recognised exchanges, which is of course our goal.
By insisting on these two factors ESE would become the same as all other exchanges and it has set out to be different. ESE therefore created a fund to pay for the audit process and the registrar requirements to deliver shares electronically so that all listed firms could afford it and reap the benefits. ESE only lists companies it can help, has helped or intends to help, this sets that pace up a notch. The growing investor base will appreciate and value the premise and as a result all listed companies will gain more.
